The Denodo Agora GenAI Hackathon Challenge 2025 - Official Terms and Conditions

IMPORTANT: PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. BY PARTICIPATING IN THE DENODO AGORA GENAI HACKATHON CHALLENGE 2025 (THE "HACKATHON"), YOU AGREE TO BE BOUND BY THESE OFFICIAL TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT PARTICIPATE IN THE HACKATHON.

  1. Introduction

    1. Organizer: The Denodo Agora GenAI Hackathon Challenge 2025 (the "Hackathon") is organized by Denodo Technologies, Pte. Ltd., with its principal place of business at 7 Temasek Boulevard #28-02 Suntec Tower One Singapore 038987 SINGAPORE ("Organizer," "we," "us," or "our").
    2. Hackathon Goal: The Hackathon aims to enable participants to learn to create a trusted data foundation for GenAI use cases using Denodo's cutting-edge logical approach to enable faster analytics, decision-making, and AI-driven innovation, helping organizations accelerate generative AI (GenAI) initiatives while maintaining strong data governance and cost efficiency.
    3. Acceptance of Terms: By registering for or participating in the Hackathon, you ("Participant," "you," or "your") unconditionally accept and agree to comply with and be bound by these Official Terms and Conditions, the Privacy Policy, and any other rules, guidelines, or policies referenced herein or communicated by the Organizer.
    4. Modifications: The Organizer reserves the right to modify these Terms and Conditions at any time, with or without prior notice. Any changes will be posted on the Hackathon website at https://www.denodo.com/en/agora-genai-hackathon-2025. It is your responsibility to review these Terms periodically for updates. Continued participation after any modifications signifies your acceptance of the revised Terms.
  2. Eligibility

    1. General Eligibility:
      • Participants must be 18 years of age or older.
      • Participants must be legally able to participate in the Hackathon in their jurisdiction.
      • Participants representing enterprise organizations must have a purchasing entity based in Australia or Singapore.
    2. Exclusions:
      • Employees, contractors, directors, and officers of the Organizer, its affiliates, subsidiaries, advertising and promotion agencies, and immediate family members (spouse, parents, siblings, and children) and/or those living in the same household of each such employee are not eligible to participate.
      • Individuals who have violated any rules or terms in previous events organized by Denodo may be deemed ineligible.
      • Members of organizations that have an existing and current Denodo subscription are not eligible to participate.
    3. Team Participation:
      • Participants may participate individually or as part of a team.
      • Teams must consist of a minimum of 1 and a maximum of 3 members.
      • All team members must meet the individual eligibility requirements.
      • Each team must designate a team leader who will be the primary point of contact with the Organizer.
  3. Registration and Participation

    1. Registration Period: Registration will be open from 7 July 2025, 00:00hr] to [20 July 2025, 23:59hr].
    2. Registration Process: Participants must register online through the official Hackathon website at https://www.denodo.com/en/agora-genai-hackathon-2025. All required information must be provided accurately and completely. Registrants must first receive and acknowledge the confirmation email being sent to them once they have been accepted, before they can enter into Phase 1 of the Hackathon.
    3. Participation Requirements:
      • Participants must have access to their own hardware, software, and Internet connectivity, unless otherwise specified by the Organizer.
      • Participants must adhere to the Hackathon schedule and deadlines. Example: the completion of Phase 1 enablement sessions according to the scheduled timings and-the acknowledgement of acceptance to Phase 2, followed by the development sessions guided by Denodo experts on the scheduled Office Hour session timings.
  4. Code of Conduct and Fair Play

    1. Respect and Inclusivity: All participants are expected to conduct themselves professionally and respectfully. Discrimination, harassment, or any form of abusive behavior towards other participants, judges, mentors, or organizers will not be tolerated.
    2. Originality All submitted projects must be original work created during the Hackathon period. Pre-existing code or components are permitted only if they are publicly available and properly attributed (e.g., open-source libraries, APIs). Significant portions of the project must be developed during the Hackathon.
    3. No Cheating: Any form of cheating, including but not limited to, plagiarism, submitting work not created by the team, or any attempt to unfairly gain an advantage, will result in immediate disqualification.
    4. Compliance with Laws:. Participants must comply with all applicable local, national, and international laws and regulations.
    5. Data Privacy: Participants must respect the privacy of others and comply with all applicable data protection laws.
    6. Consequences of Violations: The Organizer reserves the right to disqualify any participant or team who violates these Terms and Conditions or engages in any conduct deemed disruptive, unethical, or harmful to the Hackathon. Disqualified participants will forfeit any prizes.
  5. Project Submission and Judging

    1. Submission Requirements:
      • Projects must be submitted by the deadline: 5:00pm Friday, 17 October 2025 (Singapore Time) (UTC+8)
      • Submissions must include:
        • A brief video demonstration in the following format:
          • Maximum length of 10 minutes
          • Introduction of use case
          • Demonstration of solution
          • Overview of results achieved
        • Accompanying presentation/document for the solution, showing:
          • Solution and source architecture
          • Source system type and data domains
      • All submissions must be in English.
    2. Judging Criteria: Projects will be judged based on the following criteria (weighting is indicative and may be adjusted):
      • Innovation/Originality: 30%
      • Technical Implementation: 30%
      • Impact/Potential: 30%
      • Presentation/Demo: 10%
    3. Judging Process: A panel of judges, selected by the Organizer, will evaluate the submissions. The judges' decisions are final and binding.
    4. Disqualification: The Organizer reserves the right to disqualify any submission that does not meet the specified requirements, violates these Terms, or is deemed inappropriate or offensive.
  6. Intellectual Property

    1. Participant Ownership: Participants retain all ownership and intellectual property rights in their submitted projects and any underlying code, designs, or content created during the Hackathon, subject to the licenses granted herein.
    2. License to Organizer: By submitting a project, participants grant the Organizer and its partners a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and transferable license to:
      • Use, reproduce, distribute, display, perform, and create derivative works of the submitted project (including code, documentation, and presentations) for purposes related to the Hackathon, including but not limited to:
        • Showcasing winning projects on the Hackathon website, social media, and promotional materials.
        • Internal evaluation and review.
        • Demonstrating the outcomes of the Hackathon to stakeholders.
      • Use participants' names, likenesses, and biographical information in connection with the Hackathon and its promotion.
    3. Third-Party IP: Participants are responsible for ensuring that their projects do not infringe upon the intellectual property rights of any third party. If a project incorporates third-party code or assets, participants must ensure they have the necessary licenses or permissions for such use and must clearly attribute all third-party intellectual property.
    4. Confidentiality: The Organizer does not guarantee the confidentiality of any submitted project. Participants should only submit information that they are comfortable making public.
  7. Prizes

    1. Prize Details: The prizes for the Hackathon are as follows:
      • 20 winners from Phase 2: 12 months free subscription of Agora worth up to USD220,000, and a feature on the Denodo website.
      • All *qualified participants from Phase 1: Certificate of Participation, a complimentary seat at the Logical Data Management for Architect workshop worth USD800.
      • *Participants who successfully completed all stipulated enablement sessions within the given timeframe.

    2. Prize Conditions:
      • Prizes are non-transferable and no substitution will be made except as provided herein at the Organizer's sole discretion.
      • Winners are solely responsible for any and all applicable taxes, fees, and surcharges associated with the receipt and use of a prize.
      • Prizes will be awarded to the winning team, and it is the team's responsibility to divide the prize among its members. The Organizer is not responsible for internal team disputes regarding prize distribution.
      • The Organizer reserves the right to substitute a prize of equal or greater value if the advertised prize becomes unavailable.
    3. Winner Notification: Winners will be notified via email to the team leader, announced on the Hackathon website within 7 working days of the judging conclusion. Winners may be required to sign and return an affidavit of eligibility and liability/publicity release.
    4. Forfeiture of Prize: If a potential winner cannot be contacted, fails to sign and/or return any required documents within the specified time-frame, or is found to be ineligible, the prize may be forfeited and an alternate winner selected.
  8. Publicity

    • By participating in the Hackathon, participants grant the Organizer and its partners the right to use their names, likenesses, photographs, voices, and biographical information for promotional and publicity purposes related to the Hackathon, in any media now known or hereafter devised, without further compensation or permission, except where prohibited by law.
  9. Disclaimer of Warranty; Limitation of Liability

    1. No Warranties: THE HACKATHON AND ALL PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
    2. Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE ORGANIZER, ITS AFFILIATES, SUBSIDIARIES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS (COLLECTIVELY, THE "ORGANIZER PARTIES") SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE HACKATHON; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE HACKATHON; (III) ANY CONTENT OBTAINED FROM THE HACKATHON; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT THE ORGANIZER PARTIES HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
    3. Force Majeure: The Organizer is not responsible for any inability to hold the Hackathon, or to award prizes, due to delays or failures caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, natural disasters, strikes, or technical failures.
  10. Indemnification

    • You agree to indemnify, defend, and hold harmless the Organizer Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
      • Your participation in the Hackathon.
      • Your violation of these Terms and Conditions.
      • Your violation of any rights of another, including but not limited to intellectual property rights.
      • Any project or content you submit.
  11. Privacy Policy

    • Your participation in the Hackathon is also governed by the Organizer's Privacy Policy, available at https://www.denodo.com/en/privacy-notice. By participating, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.
  12. Governing Law and Dispute Resolution

    1. Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.
    2. Dispute Resolution: By submitting a project, participants grant the Organizer and its partners a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and transferable license to:
      • Exclusive Jurisdiction: Any dispute, controversy, or claim arising out of or relating to these Terms and Conditions or the Hackathon shall be subject to the exclusive jurisdiction of the courts located in Singapore.
    3. Injunctive Relief: Notwithstanding the foregoing, the Organizer shall have the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its copyrights, trademarks, trade secrets, or other intellectual property rights.
  13. General Provisions

    1. Entire Agreement: These Terms and Conditions, together with any documents referenced herein, constitute the entire agreement between you and the Organizer regarding the Hackathon.
    2. Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
    3. No Waiver: : The failure of the Organizer to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
    4. Headings: The headings in these Terms are for convenience only and have no legal or contractual effect.
